The following clauses supplement Sections 6 (Electronic Signatures) and 8 (Acceptable Use) of the main Terms of Service, for signers and recipients located in the United States.
Addendum to Section 6 — Electronic Signatures (United States)
If a document is signed by, or sent to, a person located in the United States, the following applies in addition to Section 6 of the main Terms:
Crittiks’ electronic signature feature is designed to support consent and signing practices consistent with the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN Act) and applicable state law (including the Uniform Electronic Transactions Act, as adopted by most U.S. states). Before a document requiring consumer consent under the ESIGN Act is sent for signature to a U.S. consumer, you (the sending party) are responsible for:
- obtaining the signer’s affirmative consent to sign electronically, and confirming they have not withdrawn that consent;
- providing the signer with a clear statement of their right to receive the document in non-electronic (paper) form, and how to request it;
- confirming the signer has the hardware and software needed to access and retain an electronic record of the signed document (Crittiks provides a downloadable PDF of every signed document and its Certificate of Completion for this purpose);
- not using electronic signature for document types the ESIGN Act excludes from its scope, including wills, testamentary trusts, certain family law documents (divorce, adoption), court orders and official court documents, notices of cancellation of utility services, notices of default or eviction under a primary residence lease or mortgage, notices of health or life insurance benefit cancellation, product recall notices affecting health or safety, and documents required to accompany the transportation of hazardous materials.
Crittiks does not verify a signer’s identity or determine whether a given document is legally suited to electronic signature under the ESIGN Act or state law. You are responsible for that determination, and should seek your own legal advice where uncertain.
Addendum to Section 8 — Acceptable Use (Anti-Spam, United States)
If your Crittiks workspace is used to send commercial email to recipients located in the United States, in addition to the Australian Spam Act 2003 (Cth) obligations described in Section 5 of the main Terms, you must also comply with the U.S. CAN-SPAM Act, including:
- not using false or misleading header information, subject lines, or sender identification;
- clearly identifying the message as an advertisement where required;
- including your business’s valid physical postal address in the message;
- providing a clear and conspicuous way for the recipient to opt out of future commercial email, and processing opt-out requests within 10 business days;
- not selling or transferring the email addresses of people who have opted out.
Crittiks’ Communications and Sales suites include tools to help with unsubscribe handling, but compliance with CAN-SPAM, including its record-keeping and content requirements, is your responsibility as the sender.
