1. Introduction

Welcome to Crittiks, operated by Crittiks Group Pty Ltd (ACN 654 097 784), trading as Crittiks Global Pty Ltd (654 097 837) (“Crittiks”). Crittiks provides a platform designed for UGC Managers (Agencies, Freelance Marketers, Social Media Managers, E-commerce Brands) and UGC Creators to collaborate efficiently, manage content creation workflows, and execute influencer-driven campaigns.

By accessing or using Crittiks (“Services”), you agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and any other applicable policies. If you do not agree to these Terms, you must discontinue using our Services.

2. Service Description

2.1 Crittiks Provides:

Crittiks enables UGC Managers and UGC Creators to:

UGC Managers (Agencies, Freelance Marketers, E-commerce Brands):

  1. Manage content workflows for multiple brands.
  2. Invite their existing & new UGC creators to effectively manage them.
  3. Post different gigs to find UGC Creators.
  4. Oversee creator collaborations and approvals.
  5. Track deliverables and payments in a centralized dashboard.
  6. Access pre-vetted UGC creators via the Creator Explorer.

UGC Creators:

  1. Showcase their portfolio and set rates for services.
  2. Apply for gigs via Find Gigs.
  3. Manage ongoing collaborations, invoices, and payouts.
  4. Communicate with UGC Managers via an integrated chat system (Messages).
2.2 UGC Manager and Creator Interactions:
  1. UGC Managers can create Job Posts (Gigs), purchase listings, issue invoices, and manage payments.
  2. UGC Creators can create listings, accept or decline Job Posts, negotiate rates, and track content submissions.
  3. All financial transactions are conducted directly through the platform between the parties using Stripe.
2.3 Crittiks Does Not:
  1. Process or facilitate payments between UGC Creators and UGC Managers. Transactions occur externally using stripe. Users must integrate their own payment methods (Paypal, bank transfers, wise).
  2. Own the content produced. Ownership and licensing agreements are determined between UGC Managers and Creators.

3. Account Registration & Use

3.1 Account Types:

  1. UGC Managers must register and provide business details.
  2. UGC Creators must register and verify their identity before bidding on gigs.

3.2 Account Security:

  1. Users are responsible for safeguarding their login credentials.
  2. Crittiks is not liable for unauthorized access due to user negligence.

4. Payments & Pricing

4.1 Subscription Fees (for UGC Managers):
  1. Free Tier: No subscription fee, $10.99 flat fee per UGC
  2. Basic: $29.95/month, reduced $7.99 flat fee per UGC
  3. Pro: $49.95/month, reduced $5.99 flat fee per UGC
  4. Enterprise: Custom pricing with premium support.
4.2 Creator Payouts & Invoicing:
  1. UGC Creators must provide accurate payment details.
  2. Crittiks process streamlined payments and allows invoice generation for seamless transactions through Stripe.
4.3 Refund and Dispute Policy:

5. User Responsibilities

5.1 Gig Requirements & Accuracy

UGC Managers must ensure that all gig postings, callouts, and creative briefs include clear, complete, and accurate details, including:

  1. Project scope (deliverables, content format, platform usage).
  2. Expected turnaround time and deadlines.
  3. Compensation structure (fixed price, per deliverable, milestone-based).
  4. Brand guidelines (specific messaging, aesthetic requirements, content rights).
  5. Payment terms (invoicing, payment due dates, and transaction method).

UGC Creators must:

  1. Only accept gigs they can fulfill within the agreed timeframe and scope.
  2. Deliver original, high-quality content that meets the outlined specifications.
  3. Provide revisions, if applicable, based on the agreed number of revisions.
  4. Ensure they have the rights and permissions for any third-party assets used.

Crittiks is not responsible for:

  1. Misrepresentation of gig requirements by either party.
  2. Failure to meet deadlines due to lack of communication or incomplete details.
  3. Non-payment disputes (to be resolved through the Crittiks Dispute Resolution Policy).
5.2 Legal Compliance:
  1. All users must comply with applicable tax and legal requirements.
  2. Content must adhere to advertising and intellectual property laws in Australia and any international countries.
5.3 Content Ownership & Licensing:
  1. Crittiks does not claim ownership over content produced on the platform.
  2. Licensing agreements must be established between UGC Managers and UGC Creators.

6. Limitation of Liability

Crittiks provides Services “as is” without warranties of any kind.

Crittiks is not responsible for:

  1. Crittiks is not responsible for products sent by UGC managers to creators. Shipping varies by carrier, and UGC managers should arrange their own insurance.
  2. Business outcomes resulting from the use of the platform.
  3. Security breaches, data loss, or platform downtime.

7. Termination & Suspension

7.1 By Users:
  1. UGC Managers may cancel their subscription at any time.
  2. UGC Creators may deactivate their profile if they no longer wish to use the platform.
7.2 By Crittiks:

We reserve the right to suspend or terminate accounts if:

  1. A user violates these Terms.
  2. Fraudulent or abusive activity is detected. Subscription fees are unpaid.

8. Dispute Resolution

  1. Crittiks provides a Crittiks Dispute Resolution Policy to facilitate conflict resolution between users.
  2. Users are encouraged to resolve disputes independently before escalation.

9. Amendments & Updates

  1. We may update these Terms periodically.
  2. Continued use of Crittiks after updates constitutes acceptance of the revised Terms.

10. Governing Law

These Terms are governed by the laws of Victoria, Australia and other countries.
